(the “Company”) filed with the Securities and Exchange Commission an amendment to a previously filed Registration Statement on Form S-1 relating to a proposed secondary offering of its common stock and issued a press release announcing the commencement of the offering. Burlington Stores, Inc. Announces Launch of Secondary Offering

BURLINGTON, New Jersey; April 28, 2014—Burlington Stores, Inc. (NYSE: BURL) announced today that it has commenced a public secondary offering of its common stock (the “Offering”). In the Offering, which is subject to market and other conditions, certain of the Company’s stockholders intend to offer 12,000,000 shares of common stock for sale and certain of the Company’s stockholders intend to grant the underwriters the right to purchase up to 1,800,000 additional shares. All of the shares in the Offering are being offered by selling stockholders. The Company will not receive any of the proceeds from the Offering.
